Confirmation statement

This is a document that companies must submit to the Companies House (UK Commercial Register) annually. In the case of Limited Companies (LTD), the confirmation statement must contain details of their directors and shareholders, while in the Limited Liability Partnership (LLP) its members should be listed.

At UK Companies Co we manage this process, as it is important that you do it on time, even if the business is inactive. While there are no fines for filing an application late, not filing it on time is a crime and directors can be fined individually for non-compliance. In addition, the Companies House may attempt to remove your company from its registration for non-compliance.

Information containing the confirmation statement

Your confirmation statement must contain the following information:

  • Registered office address
  • Your line of business (as expressed in standard Industrial Classification (SIC) codes).
  • The amount of shared capital issued.
  • The executives within your business that are considered to be people with significant control (PSC).
